Please read these Terms & Conditions carefully before using Orchamind. They are a binding agreement between you and Siamak Kalhor and include important disclaimers and a limitation of liability.

1. Agreement to These Terms

These Terms & Conditions ("Terms") govern your access to and use of Orchamind and its website at orchamind.com, together with any related tools, applications, and services (collectively, the "Service"), operated by Siamak Kalhor ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. You represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent.

2. The Service

The Service provides an AI operations assistant for contractors and field-service businesses, including tools to help draft bids, estimates, and proposals, and to manage jobs, crews, and schedules.

We may change, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Your Account

If you create an account, you are responsible for safeguarding your credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree not to: (a) use the Service for any unlawful, harmful, or fraudulent purpose; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the Service; (d) scrape, copy, or resell the Service without permission; (e) misuse the Service to harass others or infringe their rights; or (f) submit content you do not have the right to submit. We may remove content or suspend access for any violation.

Intellectual Property

The Service, including its design, text, graphics, software, and branding, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works without our written permission.

AI Output & No Professional Advice

The Service uses AI to help generate drafts such as bids, estimates, proposals, and operational suggestions. All AI-generated output is a starting draft only and may contain errors or omissions. It is not professional, legal, accounting, engineering, or licensing advice, and is not a binding quote or contract. You are solely responsible for reviewing, correcting, and verifying all figures, scopes, timelines, code/permit compliance, licensing, and legal requirements before relying on or sending any output to a client.

Orchamind is a drafting and workflow tool only. Orchamind is not a contractor, is not a party to any estimate, bid, proposal, or contract created with the Service, and assumes no responsibility for the accuracy of pricing, quantities, or scope in any document you send. Where AI features read uploaded plans, drawings, or photos, the resulting takeoff and line items are estimates derived from that material and must be independently verified by you. You remain solely responsible for compliance with all laws applicable to your trade and jurisdiction, including state contractor licensing and home-improvement contract requirements (for example, requirements administered by the Contractors State License Board in California).

Third-Party Services & Links

The Service may rely on or link to third-party services and websites. We do not control and are not responsible for the content, accuracy, or practices of any third party. Your use of third-party services is governed by their own terms.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY RESULT OR OUTPUT WILL BE ACCURATE OR RELIABLE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Siamak Kalhor and his affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your violation of these Terms or any law or third-party right.

Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect and handle information. By using the Service you consent to those practices.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, the provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted with an updated date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Before filing any claim, you agree to first contact us to attempt to resolve the matter informally.

General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. These Terms are the entire agreement between you and us regarding the Service and supersede any prior agreements.
